Welcome to Opus POS. These Terms and Conditions ("Terms") govern your access to and use of the Opus POS mobile application, web platform, and related services (collectively, the "Service") operated by Plat4minc Inc. ("we", "us", or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. By using the Service, you represent and warrant that you meet these requirements.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations. You agree not to:
You retain ownership of the data you enter into the Service, including product listings, inventory records, order history, and customer information ("Your Data"). By using the Service, you grant us a limited license to host, store, and process Your Data solely to provide and improve the Service.
You are solely responsible for the accuracy and legality of Your Data. We do not monitor or verify the content you upload or enter.
The Service integrates with third-party payment processors (e.g., Clover) to facilitate transactions. We are not a payment processor and do not handle, store, or have access to your customers' credit card numbers or sensitive payment credentials.
Your use of third-party payment services is subject to those providers' own terms and conditions. We are not responsible for any errors, outages, or disputes arising from third-party payment processing.
Certain features of the Service may require a paid subscription or incur fees. If applicable:
We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.
The Service, including its design, code, features, logos, and documentation, is the exclusive property of Plat4minc Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, brand names, or logos.
We may suspend or terminate your account if:
You may terminate your account at any time by requesting account deletion (see our Account Deletion page). Upon termination, your access to the Service will cease and your data will be handled in accordance with our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLAT4MINC INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Plat4minc Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
The Service may integrate with or contain links to third-party services (e.g., Clover, Firebase, Twilio). We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such services is at your own risk and subject to those parties' terms.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. Material changes will be communicated via email or through the Service with at least 15 days' notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Allen County, Indiana.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Plat4minc Inc. regarding your use of the Service, and supersede all prior agreements or understandings.
